1. This web site is for the sole purpose of Cadence Value Added Resellers (“VAR”) who have a current Value Added Reseller Agreement. The primary purpose of this web site is for placing purchase orders for OrCAD products and maintenance. By using this web site you agree to be bound by the terms and conditions of this Web Site Agreement.
2. The information contained in this web site is confidential information of Cadence or other third parties. It subject to the terms and conditions of the Cadence Value Added Reseller Agreement, this includes the use of Cadence trademarks.
3. By placing an order via this web site you represent and warrant that you are authorized to act on behalf of a Cadence Value Added Reseller to place such order. You are making a contractual obligation to Cadence on behalf of such VAR and agree to abide by the terms and conditions set forth in your Cadence Value Added Reseller Agreement.
4. You are responsible for protecting your user name and password. You will be responsible for any orders placed on this website using your user name and password, regardless of how such information was obtained (unless it was obtained without your authorization through Cadence). You agree to indemnify and hold Cadence harmless from all loss suffered or liability incurred through use of your user name and/or password.
5. Cadence reserves the right to reject any order placed via this web site.
6. The contents of this web site, including this Web Site Agreement, are subject to change by Cadence without notification; Cadence shall not be obliged to remove any outdated information from the website or to expressly mark it as being outdated.
